You are responsible for keeping your account credentials secure. You must not share your login or allow others to access the Service through your account. You are responsible for all activity under your account, whether or not you authorised it.

You agree to provide accurate information when creating an account and to keep it up to date. We may suspend or terminate accounts that contain false or misleading information.

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Copy, redistribute, or resell any part of the Service.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Interfere with or disrupt the Service, its infrastructure, or other users' access.
• Probe, scan, or test the vulnerability of the Service or bypass any security measures.
• Use the Service to store or transmit malicious code, or to send unsolicited communications.
• Use automated tools (scrapers, bots) to access the Service beyond what we expressly permit.
• Violate any applicable law or regulation in your use of the Service.

You retain ownership of all data, content, and materials that you upload or submit to the Service ("Your Data"). By using the Service, you grant Nera a limited, non-exclusive licence to store, process, and display Your Data solely to provide and improve the Service for you.

We will not sell Your Data to third parties. We may use aggregated, anonymised data (which cannot identify you or your organisation) to improve the Service, conduct research, and develop new features.

You are responsible for ensuring you have the right to upload any data you provide and that Your Data does not violate the rights of any third party.

The Service may use artificial intelligence and machine learning to analyse, summarise, or generate content based on Your Data. Outputs from AI features are provided as suggestions and should be reviewed by you before use. Nera does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated outputs.

We may use Your Data to improve our AI models, but only in aggregated and anonymised form that cannot be attributed to you or your organisation. You may opt out of this by contacting us at support@nera.software.

The Service, including its design, code, documentation, branding, and all underlying technology, is owned by Nera and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.

If you provide us with feedback, suggestions, or ideas about the Service, you agree that we may use them freely without any obligation to you.

The Service may integrate with or link to third-party services (such as GitHub, Azure, or AI model providers). Your use of those services is governed by their own terms and privacy policies. Nera is not responsible for the availability, accuracy, or practices of third-party services.

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free access. We may perform maintenance, updates, or changes to the Service at any time, with or without notice.

We reserve the right to modify, suspend, or discontinue any part of the Service. If we make changes that materially reduce the functionality you are paying for, we will give you reasonable notice.

If you are on a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are non-refundable except where required by law or as otherwise stated in your subscription agreement.

We may change our pricing with at least 30 days' notice before your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Each party agrees to keep the other's confidential information private and to use it only for the purposes of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

To the maximum extent permitted by law, Nera's total liability to you for any claims arising from or related to these Terms or the Service is limited to the amount you paid us in the twelve months before the claim arose.

Nera is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we were advised of the possibility of such damages.

The Service is provided "as is" and "as available." We make no warranties or representations, express or implied, about the Service, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will meet your requirements, operate without interruption, or be free of errors or security vulnerabilities.

You agree to indemnify and hold Nera harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

Either party may terminate these Terms at any time by giving written notice. We may also suspend or terminate your access immediately if you breach these Terms or if required by law.

On termination, your right to use the Service ends. We will make Your Data available for export for a reasonable period (at least 30 days) after termination, after which we may delete it.

Sections that by their nature should survive termination (including intellectual property, limitation of liability, disclaimer, and indemnification) will continue to apply.

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

• Governing law. These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Quebec, Canada.
• Entire agreement. These Terms, together with our Privacy Policy and any subscription agreement, constitute the entire agreement between you and Nera regarding the Service.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
